Articles of Incorporation, Lewis Ginter Botanical Garden, Inc.
COMPOSITION
The corporation shall have no fewer than twenty-five and no more than fifty directors. All directors of Lewis Ginter shall be required to be members of Lewis Ginter in good standing. City Council may appoint seven (7)* directors to the Board, based on the provision in the articles under which the Council appoints either 10 or 20% of the directors, whichever is fewer. The City Council acting by majority vote shall appoint directors for four year terms. * Advised by Alice Baker the membership for the board has reduced to 25; therefore, City Council may appoint five (5) directors to the board. Effective 2021. (Assigned to the Education and Human Services Standing Committee)
TERM OF OFFICE
Four (4) years to run concurrently. The Directors’ terms should commence on April 1 of each year to coincide with the class start dates for at-large directors.

OBLIGATION
The Corporation shall: (1.) create, operate, manage, promote and improve the Lewis Ginter Botantical Garden at Bloemendaal Farm in Henrico County, Virginia, as a public park and botanical garden consistent with the charitable intent expressed under the will of Grace E. Arents; (2.) promote the collection, cultivation and study of plants, flowers, shrubs and trees at the Lewis Ginter Botanical Garden; (3.) promote the advancement of botanical science and knowledge and study or ornamental and decorative horticulture and gardening; (4.) establish a botanical and horticultural library and public books, periodicals or pamphlets to carry out and promote the purposes of the Corporation; (5.) provide for the entertainment, recreation and education of the public; (6.) solicit and accept gifts or endowments for the operation or improvement of the Lewis Ginter Botanical Garden; and (7.) do and perform every lawful act necessary or desirable to effectively carry out the charitable, scientific and educational purposes of the Corporation.
